Section 1

About These Terms

1.1

These Terms & Conditions (the ‘Terms’) govern your purchase of a Membership, your access to The Rejuvenation programme (the ‘Programme’), and your use of therejuvenation.com and any related portals, dashboards, booking tools, messaging flows, billing portals, support channels, or successor platforms we make available (the ‘App’).

1.2

The Programme is provided by ANGKOR QUANTUM FENG SHUI & HEALING, trading as The Rejuvenation, Registration No. 5000470967, of Trapeang Treng, Sala Kamreuk, Siem Reap, Siemreap, Cambodia (‘we’, ‘us’, ‘our’, or the ‘Practitioner’).

1.3

A binding agreement is formed when you complete a purchase and the required acceptance steps in the App, when we otherwise confirm your enrolment in writing, or when you continue into paid use after being presented with these Terms. If you are joining a by-private-arrangement, invitation-only, gifted, or supplementary plan, a separate written arrangement may also apply. Where a separate signed supplementary agreement expressly conflicts with these Terms, that supplementary agreement will prevail to the extent of the conflict.

1.4

These Terms apply worldwide. Because some clients are consumers and local laws vary, nothing in these Terms excludes, restricts, or limits any right or remedy you may have under applicable law that cannot lawfully be excluded or limited. If any provision of these Terms is inconsistent with mandatory law, that provision will apply only to the maximum extent permitted and the remainder of the Terms will continue in full force.

1.5

Our main support contact is concierge@therejuvenation.com. Legal notices and legal complaints may be sent to legal@therejuvenation.com. Privacy enquiries may be sent to sovereign@therejuvenation.com. Our business address is Trapeang Treng, Sala Kamreuk, Siem Reap, Siemreap, Cambodia.

1.6

If you are purchasing for personal, family, or household use, you are a consumer for the purposes of these Terms unless mandatory law states otherwise. If you are purchasing wholly or mainly for business, professional, organisational, or resale purposes, you are a business-use client.

2.3

2.4

‘Evergreen Credits’ means credits that do not expire while they remain valid under these Terms and the App rules then in force.

2.5

‘Flex Credits’ means credits tied to a billing period that refresh at renewal and expire at the end of that billing period unless used sooner.

2.6

‘Focus Session’ means a scheduled core Programme session, including Mind & Emotions, The Body, Specific concerns, or such equivalent labels as may appear in the App from time to time.

2.7

Section 3

Eligibility, Capacity, Accounts, and Suitability

3.1

You must be at least 18 years old, or the age of majority where you live if higher, and legally capable of entering into this agreement.

3.2

The Programme is adult-oriented by default. You must not create an account for, purchase on behalf of, or direct services to a minor, dependant, or other person lacking legal capacity unless we expressly agree in writing and all required parent, guardian, and direct-participant consents and acknowledgements have been completed in the manner we require.

3.3

You confirm that the information you provide during account creation, purchase, intake, gifting, and ongoing use of the App is accurate, current, and complete to the best of your knowledge, and that you will update material changes where relevant.

3.4

You are responsible for maintaining the confidentiality of your login credentials, for restricting access to your device and account, and for all activity carried out through your account whether or not authorised by you, except to the extent caused by our own failure to use reasonable security. You must notify us promptly if you suspect unauthorised use of your account.

3.5

One account is intended for one individual participant unless the App expressly allows otherwise. You must not impersonate another person, let another person use your account, share credentials, or create accounts using false or misleading identity information.

3.6

We may refuse, pause, suspend, decline renewal of, or terminate your participation if we reasonably believe the Programme is not appropriate for you, if you require a higher level of care than we can provide, if you have not provided information or consents we reasonably require, or if your continued participation may create safety, legal, compliance, operational, payment, or reputational risk.

3.7

The Programme is generally not appropriate as a substitute for licensed care in circumstances such as active suicidality or self-harm risk, acute psychiatric crisis, acute psychosis, unstable medical conditions requiring urgent care, or any situation requiring emergency intervention. Pregnancy may limit suitability for some sessions in The Body or Specific concerns; some Mind & Emotions sessions may remain available at our discretion.

Section 4

Nature of the Programme, Baseline Outputs, and Remote Delivery

4.1

The Rejuvenation is a premium remote personal-development and complementary biofield wellness membership programme delivered through a private web app. It is complementary in nature and is not medical care, psychotherapy, counselling, emergency care, or any licensed regulated clinical service.

4.2

Services are delivered at a distance. Sessions may be directed to you while you are resting, sleeping, or carrying on ordinary activity, and may include both scheduled work and non-scheduled ongoing or background energetic support during your Membership.

4.3

The Programme is delivered to you wherever you are physically located at the relevant time. You are responsible for ensuring that your participation is lawful in your location and appropriate for your circumstances.

4.4

The Programme consists of deliverables, not promised outcomes. Deliverables may include scheduled Focus Sessions, credit-based sessions, background or recurring support, Baseline tools, account and wallet functions, gifting features, and other Programme components described in the App or in written materials.

4.5

Baseline outputs, scores, summaries, and indicators are organisational and informational tools only. They are not medical, diagnostic, psychiatric, or clinical assessments and must not be treated as a substitute for professional evaluation or advice.

4.6

We may adjust sequencing, timing, practitioner timezone, delivery style, scheduling pattern, session naming, menu structure, technical workflow, or feature design where reasonably necessary for professional judgement, safety, travel, technical reasons, operational realities, security, compliance, or service improvement, provided the overall nature of the purchased Membership is not materially reduced except where required by law or clearly disclosed in advance.

4.7

The session menu, tracks, and App features may evolve over time. New sessions, categories, and features may be added, and older sessions, categories, or tracks may be retired, replaced, renamed, restricted, or reorganised at any time.

4.8

We may use trusted personnel, contractors, service providers, and technical vendors to help host the App, process payments, provide support, and administer delivery, provided we remain responsible for the Programme as described in these Terms.

Section 5

Memberships, Plans, and Programme Structure

5.1

Current public Membership offerings are generally shown in the App. We may also operate legacy, invitation-only, gifted, promotional, or by-private-arrangement plans. Specific entitlements, pricing, eligibility, and usage rules are those shown in the App, at checkout, or in a written offer at the time you purchase or renew.

5.2

Unless we state otherwise in the App or a written offer, Memberships renew automatically on a monthly rolling basis until cancelled or terminated in accordance with these Terms.

5.3

Membership structures may include public plans such as Elevate and Elite, as well as legacy, maintenance, or bespoke arrangements. Bespoke plans may include custom sessions, custom credits, custom sequencing, or custom service structures.

5.4

Your Membership may include a combination of scheduled Focus Sessions, Flex Credits, Evergreen Credits, background support, limited condition allowances, Baseline access, and other App entitlements. The App settings, checkout summary, and any written offer form part of the commercial description of your plan.

5.5

Where we provide onboarding notes, private-arrangement summaries, account-level entitlements, or courtesy explanations in writing, those materials help explain how your plan is intended to operate but do not reduce any non-excludable rights you may have under law.

5.6

We may introduce, change, retire, merge, or discontinue plans, tiers, courtesy features, promotional offers, or legacy structures on a prospective basis. If a plan you are on is being retired or materially changed, we may offer migration, non-renewal at the end of the then-current paid period, or another lawful transition path.

5.7

Separate one-off purchases, gifts, or supplementary arrangements may sit alongside a Membership but do not automatically become part of it unless we expressly say so.

5.8

Free trials, introductory offers, promotional codes, complimentary credits, goodwill gestures, and courtesy extensions are subject to the specific rules presented with the offer and may be modified, limited, withdrawn, or cancelled where reasonably necessary to prevent abuse, fraud, or error.

Section 6

Fees, Billing, Recurring Authorisation, and Payment Issues

6.1

Fees are shown in the App or in a written offer and are payable in the currency shown at checkout. At present, prices are generally quoted and charged in United States Dollars (USD), unless we clearly state otherwise.

6.2

By purchasing a Membership, you authorise us and our payment processor to charge your selected payment method automatically at the billing interval shown at checkout until you cancel or we terminate the Membership in accordance with these Terms. This authorisation also covers applicable taxes, approved one-off purchases, overdue balances, and any other charges you expressly authorise in the App.

6.3

You authorise our payment processor to store and update your payment credentials using account updater or similar services where available. You must keep a valid payment method on file and promptly update any expired, replaced, or invalid payment details. Changing, removing, or allowing your payment method to lapse does not by itself cancel your Membership.

6.4

Unless we expressly state otherwise in the App or a written offer, pricing may change from time to time on prospective notice. Where we have communicated a specific price-protection period for an active member, we will ordinarily honour that stated period. Otherwise, we will normally give at least 30 days’ prior notice before a subscription price increase takes effect for a continuing active member.

6.5

Price changes do not affect amounts already paid for a current billing period. A notified price change will apply from the next renewal date stated in the notice, subject to any rights you may have under applicable law.

6.6

You are responsible for any currency-conversion charges, bank fees, card-issuer fees, intermediary charges, and similar amounts imposed by your own payment provider or bank. We are not responsible for exchange-rate fluctuations or charges imposed by third parties outside our control.

6.7

You are also responsible for any sales, use, VAT, GST, digital-services tax, withholding tax, or similar taxes that legally apply to your purchase, except to the extent the law requires us to collect, display, or remit them differently.

6.8

If a payment fails, we may rely on our payment provider’s retry process and may suspend App access, scheduling, credit use, or Programme delivery until the account is brought current. We may continue, limit, or resume access once overdue amounts are successfully collected.

6.9

You agree not to initiate a chargeback or payment dispute for an authorised charge without first contacting us and giving us a reasonable opportunity to investigate and resolve the issue. This does not restrict any non-excludable rights you may have under applicable law or through your payment provider. Fraudulent, bad-faith, abusive, or clearly meritless chargebacks may result in suspension, termination, credit reversal, and recovery of reasonably incurred costs to the extent permitted by law.

6.10

We may correct obvious pricing, clerical, or billing-system errors, including by cancelling an affected transaction and re-issuing the correct charge or refund where appropriate.

6.11

We may retain billing records, checkout logs, terms-version records, timestamps, IP addresses, user-agent information, payment-authorisation logs, and related electronic evidence for fraud prevention, chargeback defence, audit, compliance, and dispute resolution purposes.

Section 7

Cancellation, Auto-Renewal, Cooling-Off, and Refunds

7.1

You may cancel your Membership at any time through the Billing Portal made available in the App. You may also request manual cancellation by emailing concierge@therejuvenation.com.

7.2

Cancellation takes effect at the end of your current paid billing period unless we expressly agree otherwise or applicable law requires a different result. You will normally retain Membership access until the end of that paid period.

7.3

Cancellation stops future renewals only. It does not reverse charges already incurred for the current paid period and does not create any pro-rated refund right except where applicable law requires otherwise.

7.4

If you ask us to process cancellation manually by email, you should send your request at least 7 days before your next renewal date if you want us to process it before the next automated charge. If less notice is given, we will still act reasonably promptly, but we cannot guarantee manual processing before the next renewal.

7.5

Changing, deleting, freezing, or replacing your payment method, or allowing it to expire, does not by itself cancel your Membership.

7.6

Unless the App expressly states otherwise or the law requires otherwise, any unused scheduled sessions, current-period Flex Credits, booking rights, or other recurring Membership inclusions lapse at the end of the current paid billing period when your Membership ends. Unused Evergreen Credits are governed by Section 8.

7.7

Except where required by law, payments are non-refundable. This reflects the immediate allocation of scheduling capacity, access rights, credits, practitioner time, digital content, and ongoing Programme support.

7.8

We will, however, refund verified duplicate charges and demonstrable billing-system errors. Nothing in these Terms excludes any refund or remedy that must be provided under applicable law.

7.9

If you are a consumer in a jurisdiction that grants a statutory cooling-off, withdrawal, or cancellation right for distance contracts, that right is preserved except to the extent it is lawfully limited or lost. By purchasing, you expressly request that we begin providing the Programme immediately and that we provide immediate access to the App, Membership features, credits, and any digital content or materials made available to you. Where the law allows, you acknowledge that this may reduce or end your cooling-off right once digital content supply begins or once services are fully performed. If you cancel during a statutory cooling-off period after requesting immediate performance, we may charge for services already supplied up to cancellation, to the extent permitted by law.

7.10

Cancelling a Membership does not, by itself, cancel any separate one-off purchase, gift, private arrangement, or supplementary agreement unless that separate arrangement says otherwise.

Section 8

Credits, Wallet Rules, Gifting, and Post-Membership Access

8.1

Credits are usage entitlements only. They have no cash value, are not redeemable for money, and are non-transferable except where the App expressly enables gifting or transfer.

8.2

Flex Credits refresh at the start of each billing period in accordance with your Membership and expire at the end of that billing period if unused. Flex Credits do not roll over unless the App expressly states otherwise.

8.3

Evergreen Credits do not expire under ordinary operation and may accumulate indefinitely while they remain valid under these Terms and the App rules then in force. We may offer Evergreen Credits as part of a Membership, as a purchase option, as a promotion, or as a gift mechanism.

8.4

If you cancel your Membership, unused Flex Credits are forfeited at the end of the current paid billing period. Unused Evergreen Credits remain on your account and may continue to be used after Membership ends, but only through the limited post-membership functionality, redemption paths, product rules, and availability then made available in the App. Post-membership access does not restore any active Membership entitlements, does not grant new Flex Credits, and does not guarantee a right to purchase new credits unless we expressly allow it.

8.5

If you downgrade, your Flex Credit entitlement may immediately reduce to the lower-tier allocation or such other allocation shown in the App at the time of change. Evergreen Credits are not affected by downgrade. We may, in our sole discretion, offer a goodwill adjustment in Evergreen Credits, but we are not obliged to do so.

8.6

If you upgrade, we may grant the additional higher-tier Flex entitlement immediately, at renewal, or in the manner shown in the App at the time of change. Evergreen Credits are not affected by upgrade unless we expressly state otherwise.

8.7

If the App allows gifting, the sender must provide only details they are entitled to share. Gift recipients must create or access their own account, accept their own Terms, acknowledge the Privacy Policy, and provide any required consents before any gifted services are directed to them. We may tell the sender only whether a gift has been delivered, claimed, or redeemed where needed to administer the gift. We do not share the recipient’s intake data, health information, notes, or outcomes with the sender unless the recipient separately requests this or the law requires it.

8.8

Credit menus, redemption paths, condition allowances, booking windows, and available session types may vary by plan, App version, time period, geography, operational availability, and product rules then in force. Not every credit can necessarily be used for every session or feature at all times.

8.9

We may suspend, reverse, cancel, or invalidate credits obtained or used through fraud, abuse, technical misuse, chargeback abuse, duplicate claims, account compromise, breach of these Terms, or other improper conduct.

8.10

Any continued right to use Evergreen Credits after Membership ends remains conditional on your ongoing compliance with these Terms and on the continued existence of the relevant App functionality. We may suspend or end post-membership credit use where reasonably necessary for security, fraud prevention, legal compliance, or serious breach.

Section 9

Scheduling, Delivery, Rescheduling, and Attendance

9.1

Some Focus Sessions may be client-booked through the App, while others may be scheduled automatically according to Programme rules, practitioner availability, sequencing logic, or operational needs. Availability may vary.

9.2

Unless the App states otherwise, you should give at least 24 hours’ notice if you want to reschedule a scheduled session.

9.3

For certain Mind & Emotions sessions, you may be asked to lie down, rest, or follow session-preparation guidance for the best experience. If you do not do so, this does not necessarily prevent delivery and does not automatically entitle you to a repeat session, refund, or credit.

9.4

Where a session is scheduled for a particular time and you do not attend, confirm, or make yourself available in the expected way, we may still deliver the session at the scheduled time. If we do so, that session may count as delivered.

9.5

Late cancellations, repeated no-shows, or repeated rescheduling requests may result in forfeiture of a scheduled slot, use of a credit, or other reasonable scheduling restrictions, particularly where practitioner capacity was reserved.

9.6

If we need to reschedule due to illness, travel, emergencies, technical issues, practitioner unavailability, or operational constraints, we will use reasonable efforts to rebook the relevant session within a reasonable period.

9.7

Background or ongoing support is not dependent on you attending at a particular time and does not create a right to refunds, extensions, or additional sessions merely because you were unavailable at a scheduled time.

9.8

Session timing, scheduling windows, and practitioner availability may shift across time zones, travel periods, and operational circumstances. We do not guarantee any permanent right to a specific clock time, day of week, or practitioner schedule.

Section 10

Client Responsibilities, Emergency Responsibility, and Third-Party Participation

10.1

You are responsible for deciding whether participation is appropriate for you, for reading the information made available in the App, and for following any practical guidance we provide for safe and appropriate participation.

10.2

You must not delay, avoid, or discontinue appropriate medical, psychological, psychiatric, or other licensed care because of the Programme. You remain solely responsible for obtaining your own medical advice, diagnosis, clinical support, or emergency assistance where needed.

10.3

For any emergency or urgent concern, including chest pain, difficulty breathing, fainting, severe neurological symptoms, active suicidality, psychosis, or any other urgent issue, you must contact local emergency services, your doctor, or another appropriate urgent-care provider immediately. We do not monitor you in real time and do not provide emergency services.

10.4

You are responsible for your own decisions, actions, interpretations, personal integration, and use of any information, structure, or experiences connected with the Programme.

10.5

If you provide information about a spouse, family member, household member, dependant, gift recipient, or other third party, or ask us to direct any service to any such person, you represent that you have lawful authority and all necessary permissions and consents to share that information and make that request.

10.6

We may require any third party, parent, guardian, sponsor, or recipient to create their own account, accept their own terms, provide their own direct consent, or complete separate forms before any service is directed to them. We may refuse any such request at our discretion.

10.7

Unless we expressly agree otherwise in writing, you are solely responsible for explaining your participation to your household, family, medical providers, or other third parties if you choose to involve them. We have no duty to communicate with such persons except where required by law or expressly authorised by you and accepted by us.

Section 11

No Medical, Therapy, or Outcome Guarantee; Nature of Experiences; Marketing; Non-Reliance

11.1

The Programme is complementary only. It is not medical care, not psychotherapy, not counselling, not a substitute for a licensed professional service, and does not create a doctor-patient, therapist-client, or similar professional treatment relationship.

11.2

We do not provide diagnosis, clinical treatment, prescriptions, crisis intervention, or emergency response.

11.3

Experiences vary. You may notice changes in perspective, mood, energy, sleep, comfort, or subjective wellbeing, or you may notice no particular change. Emotional processing, temporary fatigue, vivid dreams, or shifting perceptions can occur. You are responsible for your own integration and for seeking professional support when appropriate.

11.4

No specific outcome, benefit, timeframe, result, cure, improvement, or level of effectiveness is promised or guaranteed.

11.5

Testimonials, case studies, examples, marketing statements, and promotional materials describe individual experiences only and do not form a warranty, representation, or guarantee that you will achieve the same or any particular result.

11.6

You acknowledge that you are not relying on any representation, statement, promise, projection, testimonial, marketing claim, or opinion that is not expressly set out in these Terms or in a separate written supplementary agreement signed by us.

Section 12

Assumption of Risk; Waiver and Release

12.1

You understand that any intensive personal-development or energetic practice may involve known and unknown risks, including emotional discomfort, shifting perceptions, temporary fatigue, changes in sleep, disappointment, or other subjective experiences. You voluntarily assume responsibility for your participation.

12.2

To the fullest extent permitted by law, you accept responsibility for deciding how and whether to participate, what support to seek, what information to disclose, and what personal decisions to make in response to your experience of the Programme.

12.3

To the fullest extent permitted by law, you release, waive, and discharge the Released Parties from claims, demands, causes of action, damages, losses, liabilities, and expenses arising out of or relating to your participation in the Programme, your subjective experience of the Programme, your personal decisions or interpretations, your use of the App, or your failure to seek appropriate licensed or emergency care, except to the extent caused by a Released Party’s fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, death or personal injury caused by negligence where such liability cannot lawfully be excluded, or any other liability that cannot lawfully be waived or limited.

12.4

If any part of this Section is held unenforceable under applicable law, it will apply to the maximum extent permitted and the remainder of this Section and these Terms will remain in effect.

Section 13

Privacy, Confidentiality, Sensitive Data, Client Content, and Communications

13.1

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference and explains how we collect, use, store, share, and protect your personal data.

13.2

Where the Programme requires us to process health, wellbeing, photo, screening, or other sensitive data, we may ask for a separate explicit consent or acknowledgement in the App. If required information or consent is not provided, we may be unable to provide some or all of the Programme.

13.3

We will treat your information as confidential and will not disclose it except as described in our Privacy Policy, with your consent, where required by law, where reasonably necessary to use trusted service providers, advisers, contractors, or payment processors under appropriate obligations, or where reasonably necessary to protect rights, safety, or the integrity of the App or Programme.

13.4

We may keep private practitioner notes, internal observations, scoring inputs, and internal continuity records for Programme administration and tailoring. These are internal records only and are not medical records.

13.5

We may communicate with you by email and, where offered or chosen for convenience, by other channels such as WhatsApp, Telegram, WeChat, SMS, or scheduling platforms. Third-party channels are subject to their own terms and privacy practices, and may not provide the same level of confidentiality as the App.

13.6

You authorise us to provide redacted or limited information about the nature of the services, invoices, these Terms, account activity, and fulfilment status to payment processors, banks, accountants, insurers, legal advisers, auditors, and similar parties where reasonably necessary for compliance, verification, dispute management, fraud prevention, collection, or legitimate business administration.

13.7

You remain responsible for the content, documents, photographs, messages, intake answers, and other material you submit to the App or to us. You represent that you have the rights and permissions necessary to submit that material. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, store, process, adapt, transmit, and use that material solely as reasonably necessary to operate the App, administer your account, deliver the Programme, maintain records, comply with law, prevent fraud, and protect rights.

13.8

Except to the extent prohibited by law, you consent to receive transactional, legal, billing, support, security, and account notices electronically.

Section 14

Intellectual Property, Feedback, AI Restrictions, and Permitted Use

14.1

All Programme IP is owned by us or our licensors and is protected by applicable intellectual-property, unfair-competition, contract, and confidentiality laws.

14.2

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the App and Programme IP solely for your own personal use during your active Membership, and after Membership only to the limited extent needed to use any remaining Evergreen Credits through any post-membership functionality we make available.

14.3

You must not copy, reproduce, republish, record, screen-capture, screen-record, distribute, teach, adapt, translate, sublicense, sell, commercially exploit, reverse engineer, scrape, automate extraction from, benchmark, mirror, frame, data-mine, or otherwise misuse the App or Programme IP without our prior written permission.

14.4

You must not share login credentials or permit any other person to use your account. You must not use the App, Programme IP, session menu, written content, screenshots, or other Programme materials to train, fine-tune, validate, prompt-engineer, or otherwise support any artificial-intelligence or machine-learning system.

14.5

You may print or save your own Baseline results or other expressly downloadable personal account outputs where the App permits this for personal use. No broader printing, copying, or redistribution right is granted.

14.6

If you provide suggestions, ideas, feature requests, workflow feedback, or other feedback about the App or Programme, we may use, implement, modify, and exploit that feedback without restriction or compensation to you.

14.7

Unauthorised use of Programme IP may cause irreparable harm for which damages may not be an adequate remedy. We may seek injunctive or other equitable relief, in addition to any other remedies available at law.

14.8

Except for the limited licence expressly granted in these Terms, no right, title, or interest in the App or Programme IP is granted to you, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

Section 15

Testimonials and Publicity

15.1

We may use anonymised or de-identified feedback, testimonials, or case-study material for promotional, educational, or internal training purposes provided it cannot reasonably identify you.

15.2

We may use de-identified screenshots of client messages only where all reasonably identifying details have been removed, including names, handles, profile images, and contextual details that could reveal identity.

15.3

We will not use your name, likeness, voice, photograph, video, identifiable story, or any identifiable testimonial without your separate written consent.

15.4

If you provide a separate written testimonial or publicity consent, you may withdraw that consent for future use by contacting us, subject to reasonable time for implementation and subject to materials already lawfully produced or published before withdrawal.

Section 16

App Availability, Disclaimer of Warranties, Security, and Service Changes

16.1

We do not guarantee that the App or Programme will be uninterrupted, error-free, secure, available at all times, or free from bugs, defects, harmful code, or third-party interruption. Temporary outages, maintenance windows, upgrades, bug fixes, third-party service failures, internet disruption, security measures, force majeure, or other operational issues may affect access.

16.2

To the fullest extent permitted by law, the App, Programme, and all related content, digital features, and support services are provided on an ‘as is’ and ‘as available’ basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, availability, compatibility, non-infringement, satisfactory quality, accuracy, or quiet enjoyment.

16.3

You are responsible for your own devices, internet access, data charges, cybersecurity hygiene, backups, and local system security. We are not responsible for issues caused by your device, browser, network, third-party software, or compromised credentials.

16.4

We may modify, suspend, restrict, or retire App features, wallet mechanics, dashboards, scheduling flows, reminders, messaging paths, session categories, Baseline elements, plan structures, or other non-core features as part of product development, maintenance, security, legal compliance, fraud prevention, or service improvement.

16.5

Support is limited to billing, account, technical, scheduling, gifting, administrative matters, and reasonable clarification of App or Programme operation. The Programme does not include unrestricted consulting, clinical advice, legal advice, financial advice, or general personal advisory services unless we expressly agree otherwise in writing.

16.6

We may perform maintenance, security updates, migrations, or urgent protective actions without prior notice where reasonably necessary.

16.7

We are not liable for delay, interruption, or failure caused by events beyond our reasonable control, including natural disasters, travel disruption, war, civil unrest, internet failures, platform outages, labour disputes, epidemics, government action, sanctions, payment-network failure, or similar events. We will use reasonable efforts to resume normal operation when practicable.

Section 17

Suspension, Termination, and Refusal of Service

17.1

We may suspend, restrict, refuse, decline renewal of, or terminate your access to the App, Membership, post-membership credit use, or related services if you breach these Terms, misuse the App, share credentials, misuse Programme IP, engage in abusive or threatening behaviour, commit fraud, abuse chargebacks, fail to pay amounts due, or if we reasonably believe continued service is unsuitable, unsafe, unlawful, non-compliant, or harmful to us, other clients, or third parties.

17.2

We may also decline any new purchase, upgrade, gifted activation, or private arrangement for any lawful reason, including capacity management, compliance risk, payment risk, or suitability concerns.

17.3

Where appropriate, we may choose to warn you and give you an opportunity to remedy a breach before suspending or terminating, but we are not obliged to do so in cases of fraud, safety concerns, serious misconduct, unlawful use, payment abuse, or urgent operational or security risk.

17.4

Suspension or termination does not waive any accrued rights or obligations. Any fees already due remain payable. Except where required by law, suspension or termination for your breach, misuse, payment default, or other cause permitted by these Terms does not create any refund right.

17.5

Any continued right to use Evergreen Credits after Membership ends remains conditional on your ongoing compliance with these Terms. If your access is terminated for fraud, serious misuse, unlawful conduct, credential sharing, or payment abuse, we may suspend or end post-membership credit use to the extent permitted by law.

17.6

We may investigate suspected breaches, cooperate with payment processors and lawful authorities, preserve relevant records, and take technical or legal measures we reasonably consider necessary to protect the App, the Programme, our rights, or other users.

Section 18

Limitation of Liability and Contractual Claim Period

18.1

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, gross negligence or wilful misconduct where such limitation is prohibited, death or personal injury caused by negligence where such liability cannot lawfully be excluded, breach of non-excludable statutory rights, or any other liability that cannot lawfully be excluded or limited.

18.2

To the fullest extent permitted by law, the Released Parties are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenue, business opportunity, reputation, goodwill, expected savings, or data.

18.3

To the fullest extent permitted by law, the total aggregate liability of the Released Parties arising out of or in connection with the Programme, the App, these Terms, or any related service or transaction will not exceed the total fees you paid to us in the three months immediately preceding the event giving rise to the claim.

18.4

To the fullest extent permitted by law, any claim or cause of action arising out of or relating to the Programme, the App, or these Terms must be brought within 12 months after the event giving rise to the claim, failing which it is permanently barred.

18.5

The exclusions and limitations in these Terms apply regardless of the form of action, whether in contract, tort, statute, equity, restitution, or otherwise, and survive termination.

18.6

If the law of your jurisdiction does not permit a particular exclusion, limitation, cap, or time limit, that provision will apply only to the maximum extent permitted by law.

Section 19

Indemnity

19.1

You agree to defend, indemnify, and hold harmless the Released Parties from third-party claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and reasonable legal fees arising directly from or relating to your unlawful conduct, fraudulent or abusive payment dispute, unauthorised sharing or misuse of Programme IP, credential sharing, material breach of these Terms, provision of third-party information without proper authority, or any claim brought by a family member, recipient, sponsor, or other third party in connection with your acts or requests, except to the extent caused by a Released Party’s own fraud, gross negligence, wilful misconduct, or other liability that cannot lawfully be excluded.

Section 20

Third-Party Services, Channels, and Referrals

20.1

The App and Programme may rely on third-party payment processors, hosting providers, analytics tools, messaging channels, calendar systems, communication platforms, and other service providers. Your use of third-party services may also be subject to their own terms and privacy practices.

20.2

We may suggest, mention, or refer you to third-party providers, products, practitioners, services, or resources for convenience only. Any such referral or mention does not create a partnership, agency, joint venture, endorsement, warranty, or guarantee.

20.3

You are solely responsible for deciding whether to engage any third party, for conducting your own due diligence, and for paying any third-party fees. We are not liable for any acts, omissions, advice, products, services, data practices, or outcomes of any third party.

Section 21

Complaints, Governing Law, Disputes, Arbitration, Class Action Waiver, and Supportive Jurisdiction

21.1

If you have a complaint, please email legal@therejuvenation.com with reasonable detail. We will normally acknowledge complaints within 5 business days and aim to resolve them within 30 days where reasonably possible.

21.2

Before starting arbitration or court proceedings, the complaining party should, except where urgent interim relief is needed, send a written notice of dispute describing the issue and the relief sought and allow at least 30 days for good-faith resolution discussions.

21.3

These Terms and any non-contractual disputes or claims arising out of or in connection with them are governed by the laws of the Kingdom of Cambodia, without prejudice to any mandatory consumer-protection laws that apply in your place of residence and cannot lawfully be excluded.

21.4

Except for claims seeking solely interim, injunctive, equitable, or collection relief, and except to the extent prohibited by applicable mandatory law, any dispute, claim, or controversy arising out of or relating to these Terms, the App, the Programme, any purchase, or any related service, including questions of existence, validity, interpretation, performance, breach, or termination, shall be finally resolved by confidential binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the notice of arbitration is submitted.

21.5

The seat of arbitration shall be Phnom Penh, Cambodia. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English. The award shall be final and binding and may be enforced in any court of competent jurisdiction.

21.6

If you are a consumer and applicable law gives you a non-waivable right to bring a claim in a court or tribunal you are entitled to use, or requires that arbitration be agreed only after a dispute has arisen, this Section will apply only to the maximum extent permitted by that law.

21.7

To the fullest extent permitted by law, each party may bring claims only in an individual capacity and not as a plaintiff, claimant, member, or representative in any purported class, collective, group, consolidated, mass, or representative action or proceeding. To the fullest extent permitted by law, each party waives any right to have any dispute heard or administered on such a basis.

21.8

Subject to the arbitration clause above and to any non-waivable rights under applicable law, the parties submit to the non-exclusive jurisdiction of the courts of Siem Reap, Cambodia solely for enforcement of any arbitral award, interim or injunctive relief, collection of amounts due, or where a court determines that arbitration cannot be enforced for a particular dispute.

21.9

If any part of this Section is held unenforceable, that part will be enforced to the maximum extent permitted, and the remainder of this Section and these Terms will continue in effect.

Section 22

Formal Notices

22.1

We may send legal, contractual, billing, operational, security, or account notices to the email address associated with your account, through the App, or by any other contact method you have provided to us for such purposes. You are responsible for keeping your contact details current.

22.2

Formal legal notices to us must be sent to legal@therejuvenation.com and should also be sent to our business address at Trapeang Treng, Sala Kamreuk, Siem Reap, Siemreap, Cambodia, unless we specify a different notice address in writing.

22.3

Email notices are deemed received when they are capable of being retrieved at the relevant email address, unless the sender receives a bounce-back or failure notice. Courier or postal notices are deemed received on actual delivery or attempted delivery evidenced by the carrier, to the extent permitted by law.

Section 23

Miscellaneous

23.1

Entire agreement. These Terms, together with any applicable checkout summary, plan description shown in the App, our Privacy Policy, and any valid supplementary agreement, form the entire agreement between you and us regarding the Programme and supersede prior discussions, understandings, and representations relating to the same subject matter.

23.2

Order of precedence. If there is a conflict between these Terms and an applicable signed supplementary agreement, the signed supplementary agreement prevails to the extent of the conflict. If there is a conflict between these Terms and a checkout summary or written offer, the checkout summary or written offer prevails only as to commercial terms expressly stated there.

23.3

Changes to these Terms. We may update these Terms from time to time. Material changes will apply prospectively. Where required by law or where we consider it appropriate, we will ask you to re-accept updated Terms before continued use or renewal.

23.4

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to a successor business, purchaser, affiliate, or group entity on notice where reasonably appropriate.

23.5

Severability and reformation. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect, and the invalid or unenforceable provision will be interpreted, modified, or limited only to the minimum extent necessary to make it enforceable where the law permits.

23.6

No waiver. A failure or delay in exercising any right under these Terms does not waive that right. Any waiver must be in writing to be effective.

23.7

Survival. Provisions that by their nature should survive termination, including those relating to fees, credits, account security, privacy, confidentiality, client content, intellectual property, testimonials, limitation of liability, indemnity, disputes, notices, and post-membership Evergreen Credit use, will survive.

23.8

Independent contractor. No partnership, joint venture, fiduciary, agency, employment, or similar relationship is created between you and us by these Terms or your participation in the Programme.

23.9

English language. Any translation of these Terms is provided for convenience only. To the fullest extent permitted by law, the English-language version prevails in the event of any inconsistency.

23.10

Third-party beneficiaries. The Released Parties other than the Practitioner may rely on and enforce Sections 12, 18, 19, 20, and 21 to the extent permitted by law.

23.11

Cumulative remedies. Except where these Terms expressly provide otherwise, rights and remedies under these Terms are cumulative and do not exclude rights or remedies available under law.

23.12

No oral modification. No oral statement, concierge message, support communication, marketing conversation, or social-media exchange modifies these Terms unless the change is expressly confirmed in a signed supplementary agreement or a formal written notice issued by us.

Section 24

Electronic Acceptance, Records, and Informed Consent

24.1

Electronic acceptance, including clicking an agreement box, completing a checkout flow after being presented with these Terms, submitting an intake form after acceptance, or comparable electronic confirmation, forms a legally binding agreement.

24.2

We may retain electronic records of acceptance and account activity, including terms-version records, timestamps, IP addresses, user-agent details, checkout records, payment records, and related logs, and such records are admissible to the extent permitted by law as evidence of your agreement, authorisations, and transactions.

24.3

By accepting these Terms, you confirm that you have read them carefully, had the opportunity to review them in full and ask questions, understand the complementary and non-medical nature of the Programme, understand the voluntary nature of participation, accept the disclaimers, assumption-of-risk provisions, waiver-and-release provisions, liability limitations, and dispute-resolution provisions set out herein, and enter into this agreement knowingly, voluntarily, and with informed consent.
